How the Group conducts itself.

The Group’s ESG and A.I. Ethics Charter, adopted on 7 May 2026, governs how it treats the people in the businesses it acquires, how it uses data and artificial intelligence, and how it accounts for its conduct to its Board.

The people in the businesses the Group acquires.

The Group buys businesses for their people as well as their earnings. Every employee is told in person, within forty-eight hours of completion, what has happened and what will not change. Second-line management is confirmed with retention agreements within thirty days. Employment rights transfer as the law of each jurisdiction provides, and works councils and employee representatives are consulted where the law requires and before it does. The Group’s own recruitment businesses exist to hire, not to cut.

Data, and the intelligence built on it.

The Group uses artificial intelligence in its own analysis and, in time, intends to build models on the consolidated data of the businesses it owns. Three rules govern it. Decisions about people, whether to hire, to lend, or to sell to them, are made by people; models inform and do not decide. Customer data is held under the data-protection law of the jurisdiction in which it was collected, with the consent under which it was collected, and is never combined across businesses without a lawful basis. Every use of an artificial-intelligence system in a Group business is recorded in a register reviewed by the Board’s ESG and A.I. Ethics Committee, and the Group’s use complies with UK GDPR, the transparency obligations of the European Union’s Artificial Intelligence Act, and the NIST framework where it trades in the United States.

Counterparties of standing, and no theatre.

The Group uses legal, accounting, corporate-finance, and risk advisers of institutional calibre on every transaction, runs background checks on every counterparty, does not take part in auctions, does not announce what it has not completed, and does not describe in public any business it does not own.

To the Board, on fixed dates.

The Charter is overseen by a Board committee with a non-executive chair. The Group reports its conduct under the Charter to the Board quarterly, and will publish a statement annually once it has trading businesses to report on.
